Terms of Service

These Terms of Service (the "Terms") are an agreement between K N Industries, GSTIN 33AFBPJ8394L1Z2, of 31/17, 1st Street, JG Nagar, Tiruppur, Tamil Nadu 641602, India ("we", "us" or "our"), and the business on whose behalf an account is created ("you" or "your"), for the use of Kamna, including the website kamna.app and the Kamna applications (together, the "Service").

By signing up for or using the Service, you accept these Terms, our Privacy Policy and our Payment and Refund Policy, which form part of them. The person accepting them on your behalf confirms that they have authority to do so. These Terms are an electronic record under the Information Technology Act, 2000 and require no signature.

1. Use of the Service

The Service is provided for business use only. You may use it only for your own internal business purposes.

2. Accounts and Users

You may allow your personnel to use the Service as authorised users, within the limits of your subscription. You are responsible for your authorised users and for all activity under your account. Sign-in credentials must be kept confidential, and any unauthorised use must be reported to us promptly at support@kamna.app.

3. Fees

Subscriptions, payments, cancellation and refunds are governed by our Payment and Refund Policy.

4. Your Data

Your data is handled as described in our Privacy Policy.

5. Acceptable Use

You must not:

• use the Service in breach of any law;
• host, upload, store or share any information that is prohibited under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, or that infringes the rights of any person;
• gain or attempt to gain unauthorised access to any account, data or system;
• copy, modify, decompile or reverse engineer the Service;
• extract data from the Service by automated means, except through the export and connections the Service offers;
• introduce malicious code or interfere with the operation of the Service; or
• resell or provide access to the Service to any third party without our written consent.

We may remove any information, and suspend or terminate access to the Service, where these Terms permit or the law requires it.

6. Automated Outputs

The Service produces figures and answers by automated means, including artificial intelligence, from the data entered in it. Outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them and for every decision you make on them.

7. Intellectual Property

The Service, including its software, content, names and logos, belongs to K N Industries. Subject to these Terms, we grant you a limited, non-exclusive and non-transferable right to use the Service during your subscription. All other rights are reserved. We may use any feedback you give us without obligation to you.

8. Service and Disclaimer

We may update and improve the Service from time to time, including its features. To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties that it will be uninterrupted or error-free, of merchantability, of fitness for a particular purpose and of non-infringement.

9. Limitation of Liability

To the extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, business, goodwill or data, arising out of or in connection with these Terms or the Service.

Our total liability arising out of or in connection with these Terms or the Service is limited to the fees you paid for the Service in the twelve months before the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be limited under applicable law.

10. Indemnity

You will indemnify K N Industries and its personnel against any claim by a third party, and the resulting losses, damages and reasonable costs, arising from your data, from your or your authorised users' breach of these Terms or of any law, or from any program you or your authorised users connect to the Service.

11. Suspension and Termination

You may stop using the Service at any time, and cancel your subscription under the Payment and Refund Policy.

We may suspend or terminate access to the Service if you breach these Terms, if your use puts the Service or others at risk, or if the law requires it. Where a subscription ends without renewal, access to the Service may be limited.

Provisions that by their nature are intended to survive termination, including those on intellectual property, liability, indemnity and governing law, survive it.

12. Assignment

You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, reorganisation or sale of assets.

13. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control.

14. Notices

We may give you notices by email to the address on your account, or within the Service. Notices to us must be sent to support@kamna.app.

15. Changes to These Terms

We may amend these Terms from time to time. We will notify you of material changes before they take effect. Continued use of the Service after a change takes effect constitutes acceptance of it.

16. Grievances

Grievances may be addressed to the Grievance Officer named in our Privacy Policy.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve any dispute. The courts at Tiruppur, Tamil Nadu, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

18. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. A failure to enforce any provision is not a waiver of it. These Terms, with the Privacy Policy and the Payment and Refund Policy, are the entire agreement between the parties about the Service and supersede any prior agreement or understanding on that subject.
